From Informal Trader to Registered Company: A 30-Day Formalisation Plan

A week-by-week plan to take a working informal business fully formal — registered, tax-compliant, bankable and ready to invoice corporate customers.

Week 1 — Decide and reserve

Choose your structure — a PBC for an owner-operated business, a private limited company if partners or tenders are in view — and submit five proposed names for the name search.

While you wait, gather certified IDs and proof of address for every officer and confirm your registered office address.

Week 2 — Incorporate

Lodge the incorporation documents as soon as the name is approved. Simultaneously prepare the bank pack and the ZIMRA application so nothing waits on the certificate.

Do not sign contracts in the company name until the certificate is issued.

Week 3 — Tax, bank and payroll

With the certificate in hand, register with ZIMRA for your BP number, open the corporate bank account, and register with NSSA if you employ anyone.

Move customers onto the new invoicing details and stop using your personal account for business receipts.

Week 4 — Credibility and calendar

Produce a professional company profile, apply for tax clearance, and register with PRAZ if you intend to bid for public work.

Finally, build your compliance calendar: annual return date, tax filing dates, clearance renewal and licence renewals. Formalisation only pays off if it is maintained.
