10 Company Registration Mistakes Zimbabwean Founders Keep Making

Company Registration27 April 2026 7 min read

Every one of these mistakes is avoidable, and each of them costs weeks or money. Read this before you submit anything to the Registrar.

Paperwork mistakes

The majority of delays are clerical. Uncertified copies, expired IDs, mismatched signatures and addresses that differ between documents all send filings back.

Fix these by building a single source of truth for each officer's details and reusing it across every form.

  • Submitting a single proposed name instead of five
  • Uncertified or stale identity documents
  • Address on the ID different from the address on the form
  • Using a registered office nobody monitors

Structural mistakes

Choosing the wrong entity type, splitting shares 50/50 with no deadlock mechanism, and leaving a co-founder's contribution undocumented all create expensive problems later.

Agree ownership, roles and exit terms in writing before you incorporate, not after the first disagreement.

  • Registering a PBC when investors are planned
  • Equal shareholdings with no tie-breaker
  • No written founders' agreement

Post-registration mistakes

Founders celebrate the certificate and then go quiet for a year. Meanwhile ZIMRA registration is outstanding, the first annual return is due, and NSSA liability is accruing on staff already hired.

Build a compliance calendar on day one and put the dates in the same diary you use for customer deadlines.

  • Delaying ZIMRA registration and losing tax clearance eligibility
  • Hiring before NSSA employer registration
  • Missing the first annual return

The cheapest fix is prevention

Every item above costs more to correct than to avoid. A methodical registration process, done once, is the least expensive route to a compliant business.
