For every director, member or shareholder
Every natural person connected to the entity must be identifiable. That means a certified copy of a national ID or passport, a recent proof of residential address, and full contact details.
Certification must be recent and by an authorised person such as a commissioner of oaths, police officer or legal practitioner. A photocopy of a certified copy is not a certified copy.
- Certified national ID or passport (clear, unexpired, all pages legible)
- Proof of residential address, usually within the last three months
- Mobile number and email address for each officer
- Tax number where the person already has one
For the entity itself
You need the approved name, the registered office address in Zimbabwe, a description of the principal business activity, and the allocation of shares or member interests.
The registered office is where official notices are served, so use an address you actually monitor. Missed Registrar or ZIMRA correspondence causes far more damage than the inconvenience of using a proper address.
What comes back to you
On completion you receive the Certificate of Incorporation, the filed constitutive documents, and the registered office and directors filings. Together these form the corporate pack you will supply to banks and buyers.
Store both digital and certified hard copies. You will be asked for them repeatedly — by banks, tender boards, landlords and auditors.
The bank and ZIMRA extras
Banks typically want the corporate pack plus a board resolution to open the account, KYC on each signatory, and proof of business address. ZIMRA needs the certificate, director details and a description of your activities to issue a BP number.
Preparing these in parallel with incorporation means you can trade within days of receiving your certificate instead of weeks.

How recent must a certified copy be?
Most institutions in Zimbabwe expect certification within the last three to six months. Fresh certification avoids arguments.
Can I use a residential address as the registered office?
Yes, provided it is a genuine address in Zimbabwe where notices can be served on the entity.
What if a director is outside Zimbabwe?
Certification can be done abroad by a notary public or at a Zimbabwean diplomatic mission. Build in extra time for courier and verification.
