One statute, two entity types
The Companies and Other Business Entities Act consolidated Zimbabwe's company law, replacing the separate regimes for companies and Private Business Corporations with a single framework administered by one Registrar.

Incorporation and the register
The Act sets out how entities are formed, what must be lodged, and what the public register records. It also underpins electronic filing, which is why so much of the process can now be handled online.
Your entity's particulars on that register are relied on by banks, regulators and counterparties, which is why keeping them accurate is a legal duty rather than an administrative nicety.
Directors' duties in practice
Directors must act in good faith, in the best interests of the entity, with the care and skill reasonably expected of them, and must avoid undisclosed conflicts of interest.
These duties are personal. 'The accountant handled it' is not a defence when filings are missed or company funds are used improperly.

Ongoing obligations
The Act requires entities to maintain registers, hold and record required meetings and resolutions, file annual returns, and notify changes in particulars within prescribed periods.
It also provides for the consequences of default, including penalties and the removal of defunct entities from the register.
