Why the public record must match reality
Banks, ZIMRA, procuring entities and counterparties rely on the Registrar's record. If it shows a director who resigned or an address you left, transactions stall and notices go astray.
The Companies and Other Business Entities Act requires changes in particulars to be notified within prescribed periods, and late notification attracts penalties.
The changes you must file
Anything that alters who controls the entity, where it can be reached, or how its ownership is structured needs to be recorded.
- Appointment, resignation or removal of directors and secretary
- Change of registered office or postal address
- Change of company name
- Changes in shareholding, member interests or share capital
- Changes in beneficial ownership
Sequence matters
File first, then update banks, ZIMRA and customers with the new certificate or filed forms as evidence. Banks will not act on an internal minute alone.
For a name change, plan the ripple effects: signage, invoices, domain, contracts, licences and the bank mandate all need updating.
Keep an internal change log
Maintain a simple log of every change, the date it took effect, and the date it was filed. When a bank or auditor questions a discrepancy years later, the log resolves it in minutes.
